TERMS AND CONDITIONS OF SALE CALIFORNIA DOORS
1. Acceptance of Terms
These Terms and Conditions govern purchases from California Doors through its website, showroom, physical retail location, telephone, email, invoice, or other sales channel. By placing an order, paying a deposit, accepting an invoice or proposal, or taking delivery, the customer agrees to these Terms. Any written quotation, order confirmation, invoice, or product-specific terms supplied by California Doors are incorporated into these Terms.
2. Products, Images, Samples, and Specifications
Interior doors, jambs, trim, hardware, finishes, veneers, wood products, glass, and related items may have natural variations in grain, texture, shade, pattern, dimensions, and appearance. Website photographs, renderings, displays, and samples are illustrative and may differ from the delivered product due to lighting, screens, production batches, natural materials, or manufacturer changes. California Doors may make commercially reasonable substitutions or specification updates when required by a manufacturer, provided the essential function and general character of the product are not materially reduced.
3. Measurements and Customer Responsibility
Unless California Doors expressly agrees in writing to perform field measurements, the customer is responsible for the accuracy and completeness of all dimensions, handing/swing information, wall thicknesses, rough openings, jamb requirements, hardware preparation, quantities, and other specifications supplied for an order. California Doors is not responsible for costs or delays caused by incorrect customer-supplied measurements or specifications.
4. Custom and Special Orders
Doors or related products manufactured, modified, finished, cut, drilled, pre-hung, configured, or ordered specifically for a customer are custom or special-order goods. To the fullest extent permitted by applicable law, custom and special orders cannot be canceled, returned, or exchanged after production or procurement has begun, except for verified defects, shipping damage for which California Doors is responsible, or where applicable law requires otherwise.
5. Pricing, Deposits, and Payment
Prices are stated in U.S. dollars unless otherwise indicated and may exclude sales tax, delivery, installation, permits, disposal, storage, or other services unless specifically included in writing. California Doors may require a deposit before ordering or production begins. The remaining balance is due according to the invoice or order confirmation. Orders may be placed on hold for overdue balances. California Doors reserves all rights and remedies available under applicable law for unpaid amounts.
6. Order Changes and Cancellations
Requested changes are effective only after written acceptance by California Doors. Changes may result in additional charges, revised lead times, or loss of previously ordered materials. Cancellation of stock merchandise is subject to California Doors' stated return policy and applicable law. Cancellation of custom or special-order merchandise is subject to Section 4.
7. Lead Times and Delays
Production, shipping, and delivery dates are estimates unless California Doors expressly guarantees a date in writing. California Doors is not liable for reasonable delays outside its control, including manufacturer delays, freight interruptions, port or customs delays, material shortages, labor disruptions, weather, governmental action, natural disasters, carrier problems, or other force-majeure events. California Doors will use commercially reasonable efforts to communicate material known delays.
8. Delivery, Inspection, and Storage
The customer must provide safe and reasonable delivery access and an authorized person to receive the order. The customer should inspect merchandise promptly upon receipt and note visible freight damage or shortages on the delivery documentation when possible. Claims should be reported to California Doors promptly with photographs and order information. If a customer fails to accept merchandise after notice that it is ready, reasonable storage, redelivery, or handling charges may apply, subject to applicable law.
9. Returns and Exchanges
Return eligibility for non-custom, unused stock merchandise is determined by the return policy disclosed at the time of sale and applicable California law. Returned merchandise must generally be unused, uninstalled, unmodified, and in resalable condition with original packaging. Shipping, delivery, special-order, fabrication, finishing, and other nonrecoverable charges may be nonrefundable where permitted by law. Nothing in these Terms limits rights that cannot legally be waived.
10. Installation
Unless installation is expressly included in a written agreement, California Doors sells products only and does not assume responsibility for installation, site conditions, code compliance of third-party work, or damage caused by improper handling or installation. Products must be stored, acclimated, installed, sealed, finished, and maintained according to manufacturer instructions and applicable building requirements.
11. Warranties and Defects
Manufacturer warranties, if any, are passed through to the customer according to their terms. California Doors will reasonably assist with valid warranty claims. Except for warranties expressly provided in writing and to the extent permitted by law, California Doors disclaims implied warranties that may lawfully be disclaimed. This provision does not exclude or limit any warranty or consumer protection right that California law makes nonwaivable.
12. Limitation of Liability
To the fullest extent permitted by law, California Doors will not be liable for indirect, incidental, special, exemplary, or consequential damages arising from a product or order, including lost profits, lost use, project delay, substitute lodging, or third-party labor, except where such limitation is prohibited by law. California Doors' aggregate liability for a claim will not exceed the amount paid for the specific goods or services giving rise to the claim, except where applicable law requires a different remedy.
13. Website Use and Intellectual Property
Website content, branding, photographs, graphics, product descriptions, and other materials owned by California Doors may not be copied, republished, or commercially used without permission, except as allowed by law. Customers may use the website only for lawful purposes and may not interfere with its operation or security.
14. Privacy and Electronic Communications
Personal information collected through the website or sales process will be handled according to California Doors' Privacy Policy and applicable privacy law. By providing electronic contact information, the customer consents to transactional communications regarding quotes, orders, deliveries, and customer service. Marketing communications will be handled in accordance with applicable consent and opt-out requirements.
15. California Consumer Rights
These Terms are intended to comply with applicable federal and California consumer-protection laws. No provision is intended to waive a right or remedy that cannot legally be waived. If a provision conflicts with mandatory law, the mandatory law controls and the remaining provisions remain effective.
16. Disputes and Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Unless the parties agree otherwise or applicable law requires a different forum, disputes shall be brought in a court of competent jurisdiction in California. Before filing suit, the parties are encouraged to make a good-faith effort to resolve the dispute directly.
17. Severability and Entire Agreement
If any provision is held invalid or unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions will continue in effect. These Terms, together with the applicable quotation, invoice, order confirmation, return policy, privacy policy, and any signed written agreement, constitute the agreement concerning the applicable sale and supersede inconsistent prior oral statements.
